The size of the treasury offering is expected to be about C$90 million, and the size of the secondary offering, about C$35 million. LifeSpeak Inc. Files Amended and Restated Preliminary Prospectus

TORONTO–(BUSINESS WIRE)–LifeSpeak Inc. (“LifeSpeak” or the “Company”) today announced that it has filed with the securities regulatory authorities in each of the provinces and territories of Canada, an amended and restated preliminary prospectus (the “Amended and Restated Preliminary Prospectus”), which amends and restates the preliminary prospectus filed by the Company on June 14, 2021 in connection with its initial public offering of common shares (the “Offering”).
As disclosed in the Amended and Restated Preliminary Prospectus, the Offering consists of a treasury offering, and a secondary offering by certain shareholders of the Company (the “Selling Shareholders”), of common shares, which are anticipated to be offered at a price per share between $9.00 and $12.00 per common share, for aggregate gross proceeds of approximately $125 million. The size of the treasury offering is expected to be approximately $90 million and the size of the secondary offering is expected to be approximately $35 million.
The Offering is being made through a syndicate of underwriters led by RBC Capital Markets, Canaccord Genuity Corp. and Scotiabank, as joint bookrunners, and including CIBC Capital Markets, TD Securities Inc., Roth Canada, ULC, Desjardins Securities Inc. and Stifel GMP.
