The Company:

i3 Mobile provides personlized information to users of wireless devices such as mobile phones, pagers and personal digital assistants to address their media content and electronic commerce needs. The company currently delivers information content in a variety of categories, including finance, news, weather, sports, entertainment, traffic and travel, from more than 50 content sources. i3 has also begun to offer additional products and services, including advertising sales, wireless electronic commerce, e-mail and personal information management applications. i3 has entered into strategic relationships with 11 content providers – Dow Jones, Sports Ticker, Associated Press, The Weather Channel, Los Angeles Times, The Canadian Press, Comtex, FOX News, 1-800-flowers.com, infoUSA and CNBC.com. Its products and services are distributed through agreements with wireless network operators. The company currently has agreements with 15 such operators, collectively representing about 48 million wireless phone subscribers as of Sept. 30, 1999, or more than 55% of the North American market of wireless phone users. i3 has also developed wireless message delivery systems for four Internet media networks and corporate enterprises. At Dec. 31, 1999, the company had more than 450,000 users of its products and services, of which about 100,000 were paying subscribers and 350,000 were complimentary users.

Proceeds:

Estimated net proceeds of $59.2 million have been earmarked to expand sales and marketing, to further develop systems infrastructure, and for working capital and general corporate purposes, including the development of technology alliances.
